Terms of Service

1. Introduction

Welcome to Celvo. These Terms of Service (the “Terms”) govern your access to and use of the Celvo mobile application, the website located at celvoapp.com (the “Site”), and the eSIM data services offered through them (collectively, the “Service”).

The Service is operated by Mtislab LLC, a limited liability company duly incorporated under the laws of Georgia, holding Identification Number 448430911, with its registered office at Georgia, Batumi, 12th St., N1 (“Celvo”, “we”, “our”, or “us”).

By creating an account, downloading the application, purchasing a Data Package, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • “eSIM” — an embedded SIM, a digital cellular subscriber identity profile that can be remotely provisioned to a compatible device.
  • “Data Package” — a prepaid mobile data allowance for a specified destination, validity period and data volume that you purchase through the Service.
  • “Network Partner” — a third-party telecommunications operator that provides the underlying cellular connectivity for a Data Package.
  • “ICCID” / “EID” — the unique identifiers associated with a SIM profile and an eSIM-capable device respectively.
  • “User”, “you”, “your” — any individual or legal entity that accesses or uses the Service.

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction (whichever is greater);
  • Have the legal capacity to enter into a binding contract; and
  • Not be barred from using the Service under the laws of Georgia or any other applicable jurisdiction.

4. Account Registration

To purchase Data Packages, you must create an account by providing a valid email address and any other information requested at registration. You agree to:

  • Provide accurate, current and complete information;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and secure; and
  • Notify us immediately of any unauthorized access to your account.

You are solely responsible for all activity that occurs under your account.

5. Description of the Service

Celvo is a digital reseller and distributor of eSIM data packages for international travelers. We do not own or operate cellular networks. We partner with global and local telecommunications providers to offer prepaid mobile data on their infrastructure. The Service is software-driven — no physical SIM cards are shipped or delivered.

Upon successful purchase, you will receive an eSIM activation profile (typically delivered as a QR code or activation link) that you can install on a compatible device.

6. Device Compatibility and User Responsibility ⚠️

This is one of the most important sections of these Terms. Please read it carefully before purchasing.

eSIM technology requires that your device:

  • Is eSIM-capable (supports embedded SIM profiles); and
  • Is carrier-unlocked (not restricted to a specific home network operator).

You are solely responsible for verifying — before completing any purchase — that your device meets both of the above requirements. Compatibility guidance and a list of commonly supported devices are published on the Site and within the application for convenience only; they do not constitute a warranty of compatibility for any specific device.

We will not be liable for, and will not refund, any Data Package purchased for a device that is:

  • Not eSIM-compatible;
  • Locked to a carrier other than the Network Partner;
  • Running an unsupported operating system version;
  • Modified, jailbroken or otherwise tampered with in a way that affects eSIM functionality; or
  • Subject to regional, governmental or carrier-imposed restrictions outside our control.

7. Purchases, Pricing and Payment

All prices are displayed in the currency indicated within the application or Site and are inclusive of applicable taxes unless otherwise stated. We reserve the right to change pricing at any time; however, any change will not affect Data Packages already purchased.

Payments are processed by certified third-party payment processors — primarily Bank of Georgia (BOG) as the acquiring bank, together with Apple Pay and Google Pay. We do not store your full credit card or banking details. Your use of any payment method is also subject to that provider’s terms.

By submitting a payment, you represent and warrant that you are authorized to use the payment method and you authorize us (through our payment processor) to charge the full purchase amount to that method.

8. Activation and Delivery

Data Packages are delivered electronically via the application and/or by email shortly after successful payment. Delivery is considered complete when the eSIM activation profile (QR code, activation link or in-app activation) is made available to you.

The validity period of the Data Package begins as specified at the time of purchase or, where applicable, upon first network attachment in the destination country.

9. Refund and Cancellation Policy ⚠️

Data Packages are digital, intangible goods that are consumed upon activation or network attachment. Accordingly:

  • Refunds will only be considered where:
    • (a) a documented technical failure attributable to Celvo or the Network Partner prevents the Data Package from functioning; and
    • (b) no data has been consumed (data usage strictly equals 0 MB).
  • Once any data has been consumed — even 1 MB — the Data Package is deemed used and is entirely non-refundable.
  • Incompatibility refunds are not available. Purchases for devices that turn out to be incompatible, network-locked or unsupported do not qualify for a refund (see Section 6).
  • No refunds will be granted for Data Packages that have expired, were activated outside the destination country, were unused due to changed travel plans, or were affected by user error during installation or activation.
  • Refund requests must be submitted within 14 days of purchase via the in-app support channel or by emailing info@mtislab.com, together with relevant diagnostic information (device model, ICCID, screenshots of error messages).
  • Approved refunds will be returned to the original payment method within a reasonable processing time.

Statutory withdrawal rights (where applicable). Where you are a consumer resident in a jurisdiction that grants statutory withdrawal rights for digital content (for example, certain European Union Member States), you acknowledge and expressly consent that activation of the eSIM profile constitutes performance of the contract, and that you lose any right of withdrawal upon such activation.

10. Service Availability and Third-Party Networks

The Service relies on cellular networks operated by independent Network Partners in each destination country. You acknowledge and agree that:

  • Network quality, speed, coverage, latency and availability depend entirely on the Network Partner and on local conditions in the destination country, and may vary by location, time of day, weather, congestion and other factors.
  • We do not guarantee uninterrupted, error-free or any specific level of service performance.
  • The Service may be temporarily suspended, restricted or unavailable due to maintenance, network outages, force majeure or restrictions imposed by governments or regulators in the destination country.
  • We do not warrant that any specific feature (e.g., tethering, hotspot, VoIP, SMS, voice calls) will be available with any given Data Package. Available features are described per Data Package at the point of sale.
  • We are not liable for losses arising from network unavailability, including missed connections, missed communications or business interruption.

11. Fair Usage Policy (FUP)

Data Packages are intended for ordinary, personal mobile use while traveling. To protect the Service for all users, the following Fair Usage rules apply:

  • Data must be consumed by the User’s own end-device for personal communication, browsing, navigation, streaming and similar everyday activities.
  • The following uses are prohibited:
    • Operating servers, gateways or other network infrastructure;
    • Continuous, automated or machine-to-machine traffic that resembles enterprise or commercial use;
    • Sustained peer-to-peer file sharing (e.g., torrent activity);
    • Reselling, redistributing or otherwise commercially exploiting the data allowance;
    • Sending unsolicited communications, spam or malicious traffic;
    • Any activity that materially degrades the quality of service for other users.

Where Network Partners impose specific throttling thresholds, speed caps, or “unlimited” fair-use limits, these will be disclosed at the point of sale and form part of the contract for that Data Package.

12. Acceptable Use and Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable law, regulation or third-party right (including intellectual property, privacy or publicity rights);
  • Engage in fraud, identity theft, money laundering or any deceptive practice;
  • Distribute malware, viruses or any harmful code;
  • Interfere with, probe or attempt to gain unauthorized access to the Service, our systems or the systems of any Network Partner;
  • Reverse engineer, decompile or attempt to extract the source code of the application, except where expressly permitted by law;
  • Use automated means (bots, scrapers) to access the Service without our prior written consent.

We reserve the right to suspend or terminate accounts, and to refuse or cancel Data Packages, where we have reasonable grounds to believe these Terms have been breached.

13. Intellectual Property

The Service — including the Celvo name, logo, application, Site, design elements, source code, text, graphics and all related content — is owned by Mtislab LLC or its licensors and is protected by intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable, revocable license to use the application solely for accessing the Service in accordance with these Terms. No other rights are granted, whether by implication or otherwise.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, share and protect your personal data. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

15. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, statutory or otherwise. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and any warranty arising out of course of dealing or trade usage.

We do not warrant that the Service will be uninterrupted, timely, secure or error-free, or that defects will be corrected.

16. Limitation of Liability

To the maximum extent permitted by applicable law:

  • We will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, loss of business, loss of goodwill, loss of data or loss of opportunity, arising out of or in connection with the Service, whether based on contract, tort (including negligence), statute or any other legal theory.
  • Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of (i) the amount you paid to us for the specific Data Package giving rise to the claim, or (ii) ten (10) Euros.
  • Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as liability for death or personal injury caused by gross negligence or willful misconduct).

17. Indemnification

You agree to defend, indemnify and hold harmless Mtislab LLC, its directors, officers, employees and Network Partners from any claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising out of:

  • (a) your breach of these Terms;
  • (b) your misuse of the Service;
  • (c) your violation of any law or third-party right; or
  • (d) Data Package consumption attributable to your conduct.

18. Termination

We may suspend or terminate your access to the Service, with or without notice, if we believe you have breached these Terms, engaged in fraudulent conduct, or where required by law.

You may stop using the Service at any time and may delete your account through the in-app “Delete Account” function. Termination does not entitle you to a refund of unused or activated Data Packages, except as provided in Section 9.

19. Modifications to the Service and Terms

We may modify the Service, including features, Data Packages and pricing, from time to time. We may also amend these Terms by posting an updated version with a new “Last Updated” date. Material changes will be brought to your attention through the application or by email at least 14 days before they take effect. Your continued use of the Service after the effective date of an updated version constitutes acceptance of the revised Terms.

20. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or the Service, shall be governed by and construed in accordance with the laws of Georgia, without regard to its conflict-of-laws principles.

The competent courts of Georgia shall have exclusive jurisdiction to resolve any dispute, claim or controversy, except where applicable consumer-protection law grants you the right to bring proceedings in the courts of your country of residence.

If you are a consumer resident in the European Union, you may also access the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

21. General Provisions

  • Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor.
  • Entire Agreement. These Terms, together with the Privacy Policy and any additional terms applicable to specific Data Packages, constitute the entire agreement between you and Celvo with respect to the Service.
  • Notices. Notices to you may be given through the application, by email or by posting on the Site. Notices to us must be sent to the contact details below.
